Beta Programme Terms

1. Acceptance of Terms
These Beta Programme Terms and Conditions ("Beta Terms") govern your participation in the LexVault private beta programme. By ticking the beta acceptance checkbox at sign-up, clicking "I Agree," or otherwise accessing or using the beta version of the LexVault platform ("Beta Service"), you confirm that you have read, understood, and agree to be bound by these Beta Terms in full, together with LexVault's Terms of Service and Privacy Policy, which are incorporated herein by reference.
If you do not agree to these Beta Terms, you must not create an account or use the Beta Service. If you are accepting on behalf of a law firm or other legal entity, you represent and warrant that you have the authority to bind that entity to these Beta Terms.
2. Nature of the Beta Service
The Beta Service is a pre-release, experimental version of the LexVault platform provided solely for evaluation and feedback purposes. The Beta Service:
- Is still under active development and has not been commercially released;
- May contain bugs, errors, security vulnerabilities, incomplete features, or behaviour that differs materially from any documentation or marketing materials;
- May be modified, suspended, or discontinued at any time without prior notice;
- Is provided free of charge for a period of three (3) months from the date of account creation, after which continued access requires a paid subscription.
LexVault reserves the right to extend, shorten, modify, or terminate the beta programme at any time, for any reason, with or without notice, and without liability to any beta participant.
3. AI-Generated Output — Critical Disclaimer
The Beta Service uses artificial intelligence and large language models to search, retrieve, summarise, draft, and analyse documents. AI-generated output is inherently probabilistic, non-deterministic, and may be incomplete, inaccurate, misleading, hallucinated, or entirely wrong.
By using the Beta Service, you expressly acknowledge and accept that:
- ▸AI outputs — including search results, answers, summaries, conflict checks, and drafted documents — must never be relied upon without independent verification by a qualified, licensed attorney.
- ▸The Beta Service is a tool to assist legal professionals. It is not a substitute for professional legal judgment, legal research, or attorney due diligence.
- ▸Conflict checks produced by the Beta Service are assistive screening tools only. They do not constitute a complete or reliable conflict clearance and do not satisfy your firm's professional obligations to perform conflict screening. Your firm's own conflict clearance procedures must always be followed.
- ▸Document drafts produced by the Beta Service are first drafts only. They must be reviewed, verified, corrected, and approved by a licensed attorney before use, filing, or delivery to any client or court.
- ▸Search and Q&A results may omit relevant information, return irrelevant information, or mischaracterise the content of source documents. Always review source documents directly.
- ▸Any action taken on the basis of AI-generated output without independent attorney verification is taken entirely at your own risk.
- ▸LexVault does not practise law and nothing produced by the Beta Service constitutes legal advice, legal opinion, or the establishment of an attorney-client relationship.
4. Professional Obligations
Your use of the Beta Service does not alter, limit, or replace your professional obligations as a licensed attorney or legal professional. You remain solely responsible for:
- Compliance with all applicable bar admission rules, state bar regulations, Rules of Professional Conduct (including but not limited to the ABA Model Rules), and any applicable court rules;
- Maintaining client confidentiality and preserving attorney-client privilege in accordance with your professional and ethical obligations;
- Ensuring that your use of AI tools in your practice is consistent with applicable ethics opinions and guidance issued by your state bar or applicable regulatory authority;
- Obtaining any client disclosures, consents, or waivers required by your jurisdiction before uploading confidential client documents to any third-party platform;
- Supervising any AI-generated work product as you would supervise work performed by a subordinate attorney or non-attorney assistant under applicable professional conduct rules;
- Ensuring that any work product incorporating or derived from AI-generated content satisfies the competence standard required of a licensed attorney under applicable Rules of Professional Conduct.
5. Beta Access Limits
Beta access is subject to usage limits set at LexVault's sole discretion, including limits on the number of documents, users, AI queries, drafts, and storage. These limits may be adjusted at any time. Exceeding a limit will result in the relevant feature being temporarily restricted until the next applicable reset period or until LexVault adjusts your limits. LexVault is not liable for any loss arising from a limit being reached.
6. Confidentiality of Beta
The Beta Service, including its features, functionality, user interface, and any non-public information about its performance or roadmap, constitutes confidential information of LexVault ("Beta Confidential Information").
You agree not to: (a) disclose Beta Confidential Information to any third party without LexVault's prior written consent; (b) publicly benchmark, publish reviews of, or publicly describe the Beta Service without LexVault's consent; or (c) use Beta Confidential Information for any purpose other than participating in the beta programme.
This confidentiality obligation does not apply to information that is or becomes publicly available through no fault of yours, or that you are required to disclose by law or court order (in which case you will give LexVault prompt prior written notice to the extent permitted by law).
7. Beta Feedback and Intellectual Property
As a beta participant, you may be asked to provide feedback, bug reports, feature suggestions, or other input regarding the Beta Service ("Feedback"). You agree that:
- All Feedback is provided voluntarily and without expectation of compensation;
- LexVault may use, incorporate, adapt, and commercialise any Feedback without restriction, obligation, or compensation to you;
- To the extent any intellectual property rights arise in Feedback, you hereby assign all such rights to LexVault irrevocably and without further consideration.
LexVault retains all right, title, and interest in and to the Beta Service, including all improvements, modifications, and derivative works, regardless of whether they incorporate Feedback.
8. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
THE BETA SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. LEXVAULT EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
- Any warranty that the Beta Service will be uninterrupted, error-free, secure, or free of viruses or harmful components;
- Any warranty as to the accuracy, completeness, reliability, or currency of any AI-generated output;
- Any warranty that defects in the Beta Service will be corrected;
- Any warranty that the Beta Service is suitable for use in legal practice or in connection with confidential client matters.
No oral or written statement by LexVault, its employees, contractors, or agents creates any warranty not expressly stated in these Beta Terms.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- LEXVAULT AND ITS FOUNDERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS, EVEN IF LEXVAULT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- LEXVAULT IS NOT LIABLE FOR ANY PROFESSIONAL LIABILITY, MALPRACTICE CLAIM, BAR DISCIPLINE, OR REGULATORY ACTION ARISING FROM YOUR RELIANCE ON AI-GENERATED OUTPUT.
- LEXVAULT IS NOT LIABLE FOR ANY LOSS OR CORRUPTION OF DATA OR DOCUMENTS UPLOADED TO THE BETA SERVICE.
- LEXVAULT IS NOT LIABLE FOR ANY HARM ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT RESULTING FROM YOUR FAILURE TO SAFEGUARD YOUR CREDENTIALS.
LexVault's total aggregate liability to you for all claims arising out of or relating to the Beta Service or these Beta Terms — whether in contract, tort, negligence, strict liability, or any other legal theory — shall not exceed $100 USD (one hundred United States dollars).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, LexVault's liability will be limited to the fullest extent permitted by applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless LexVault and its founders, officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Beta Service in violation of these Beta Terms; (b) your Customer Content; (c) your violation of any applicable law, rule, regulation, or professional conduct obligation; (d) any claim that your use of the Beta Service infringes or misappropriates any third-party right; or (e) your reliance on any AI-generated output without independent attorney verification.
11. Termination
LexVault may suspend or terminate your beta access at any time, with or without cause or notice, including but not limited to if LexVault determines: (a) your use is harmful to the platform, other users, or LexVault; (b) you have breached these Beta Terms; (c) LexVault discontinues the beta programme; or (d) you have engaged in fraudulent, abusive, or unlawful conduct.
You may stop using the Beta Service and close your account at any time by contacting hello@lexvault.legal. Upon termination for any reason, your right to access the Beta Service ceases immediately. Customer Content will be retained for 30 days following termination and then permanently deleted, except as required by law.
12. Governing Law
These Beta Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Beta Terms.
13. Dispute Resolution and Binding Arbitration
Please read this section carefully. It affects your legal rights.
Any dispute, claim, or controversy arising out of or relating to these Beta Terms or the Beta Service — including the existence, validity, interpretation, performance, breach, or termination thereof — shall be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, as modified by these Beta Terms. The arbitration shall be conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction solely to protect intellectual property rights or confidential information pending the outcome of arbitration.
The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration provision.
14. Class Action Waiver
YOU AND LEXVAULT EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, BOTH YOU AND LEXVAULT WAIVE ANY RIGHT TO A JURY TRIAL.
15. Severability
If any provision of these Beta Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if it cannot be modified, it will be severed from these Beta Terms. The remaining provisions will continue in full force and effect.
16. Waiver
LexVault's failure to enforce any provision of these Beta Terms on any occasion does not constitute a waiver of that provision or of LexVault's right to enforce it on any other occasion. No waiver of any right or provision is effective unless made in writing and signed by an authorised representative of LexVault.
17. Entire Agreement
These Beta Terms, together with LexVault's Terms of Service, Privacy Policy, and Data Processing Agreement, constitute the entire agreement between you and LexVault with respect to the Beta Service and supersede all prior and contemporaneous agreements, representations, and understandings, whether written or oral, relating to the Beta Service.
18. Modifications
LexVault may update these Beta Terms at any time. We will notify you of material changes by email or by posting a notice in the Service at least 14 days before the change takes effect. Your continued use of the Beta Service after the effective date constitutes your acceptance of the updated Beta Terms. If you do not agree to the updated terms, you must stop using the Beta Service and close your account.
